But basically this is a legal way of telling someone stfu. Either because you can’t snitch on the corporate secrets, or you can’t whistleblow questionable behavior, if INC is to be considered as the context for this NDA.
You always bring a lawyer to these things to read the fine print and make sure terms are just (i.e. no one gets f*ked over).

Not a lawyer in my country, but my layperson’s understanding of contracts has always been that there needs to be a bargain for exchange" between the parties, such as something bargained for and received by a promisor from a promisee. In other words, you can’t have a one-way contract. Both parties have to get something.
